Lehine daha önce menkul rehni, hisse rehni ya da hesap rehni kurulmuş olan ve aynı rehinli varlık üzerinde sonraki rehin alacaklılarına göre öncelik taşıyan taraftır. Proje finansmanında en tipik uygulama, proje şirketinin hisselerinin ve tahsilat hesaplarının kredi verenler lehine rehnedilmesidir; öncelikli rehin alacaklısı sıfatı, temerrüt hâlinde hisseleri paraya çevirme (enforcement) ve böylece projeyi bütün olarak devralma yetkisini kime ait kılacağını belirler. Bir hisse rehninin önceliği çoğu yargı bölgesinde bildirim veya sicil kaydına bağlı olduğundan, rehnin usulüne uygun mükemmelleştirilmesi (perfection) önceliğin fiilen doğduğu andır.
English Definition
The party in whose favour a pledge of movables, shares or accounts was earlier created and who ranks ahead of later pledgees over the same pledged asset. The most typical application in project finance is the pledge of the project company's shares and collection accounts to the lenders; standing as prior pledgee determines who holds the power to enforce and thereby take the project whole on default. Because the priority of a share pledge in most jurisdictions depends on notice or registration, proper perfection of the pledge is the moment at which priority actually arises, not the date of the agreement.
