Sponsorun, projeyi belirli bir tarihe kadar ve tanımlı performans kriterlerine göre tamamlamayı kreditöre karşı taahhüt ettiği sözleşmedir; tamamlanma gerçekleşmezse sponsorun ek özkaynak koyma ya da borcu üstlenme yükümlülüğünü kurar. Bu sözleşme, inşa dönemi riskini proje şirketinden sponsora aktaran temel araçtır ve non-recourse finansmanın inşa aşamasında fiilen recourse taşıdığı noktadır. Kreditör açısından kritik olan, tamamlanmanın nasıl tanımlandığıdır; yalnızca fiziki bitiş mi, yoksa belirli süre boyunca sürdürülen performans testi mi arandığı, sponsorun garanti süresinin uzunluğunu doğrudan belirler.
English Definition
The contract by which a sponsor undertakes to the lender to complete a project by a defined date and to defined performance criteria, creating an obligation to inject further equity or assume the debt if completion fails. It is the principal instrument transferring construction-period risk from the project company to the sponsor, and the point at which non-recourse financing in fact carries recourse during construction. What matters to the lender is how completion is defined; whether only physical finish or a sustained performance test is required directly determines the length of the sponsor's guarantee period.
