Bir projeye sağlanacak öz kaynak ve borç fonlarının hangi sırayla, hangi koşullarla ve hangi hesaplar üzerinden akacağını düzenleyen sözleşmedir. Belge tipik olarak sponsorun öz kaynağını borçtan önce ya da orantılı biçimde koyacağını (equity first ya da pari passu) ve fonların yalnızca onaylı proje maliyetleri için kullanılacağını hükme bağlar. Kredi verenlerin en çok önem verdiği hüküm, öz kaynak katkısının geri çekilemez ve koşulsuz olmasıdır; zira inşa aşamasında sponsorun öz kaynak taahhüdünü geciktirmesi, tüm çekiş takvimini kilitleyen en yaygın sürtünme noktasıdır.
English Definition
An agreement governing the sequence, conditions, and account routing through which equity and debt funds are contributed to a project. The document typically stipulates whether the sponsor injects equity ahead of debt or proportionally (equity first or pari passu) and confines the use of funds to approved project costs. The provision lenders care about most is that the equity contribution be irrevocable and unconditional, because a sponsor's delay in honouring its equity commitment during construction is the most common friction point that locks up the entire drawdown schedule and triggers standstill discussions.
