Proje şirketi ile ev sahibi kamu otoritesi arasında, projenin geliştirilmesi ve işletilmesine ilişkin karşılıklı yükümlülükleri düzenleyen çerçeve sözleşmedir. Belge tipik olarak izin taahhütleri, arazi tahsisi, vergi rejimi istikrarı ve döviz transferi güvenceleri gibi kamu tarafı taahhütlerini içerir. Kredi verenler açısından bu sözleşmenin gerçek değeri, siyasi risk ile düzenleyici değişiklik riskini kamu tarafına sabitleyen istikrar (stabilization) hükümlerindedir; zira bu hükümlerin zayıflığı, projeyi sigortalanabilir olmaktan çıkarıp öz kaynak yoğunluğuna zorlar.
English Definition
A framework agreement between the project company and the host public authority governing the mutual obligations relating to the development and operation of the project. The document typically contains host-side undertakings such as permitting commitments, land allocation, tax regime stability, and currency transfer assurances. For lenders the true value of this agreement lies in the stabilization clauses that fix political and regulatory-change risk onto the public side, since weakness in those clauses renders the project harder to insure and forces the structure toward heavier equity or a more expensive political risk wrap.
