Bir projenin hukuki, sözleşmesel ve finansal mimarisinin bütünüdür; proje şirketinin kimlerle, hangi sözleşmelerle ve hangi risk dağılımıyla çevrelendiğini tanımlar. Yapının özü, her riski en iyi taşıyabilecek tarafa yerleştiren sözleşme ağının kurgulanmasıdır; alım anlaşması gelir riskini, EPC kontratı inşa riskini, sigorta ve garantiler artık riskleri üstlenir. Deneyimli uygulayıcı, yapının zarafetini kâğıt üzerindeki temizliğiyle değil, en olası stres senaryosunda hangi tarafın gerçekten para koyacağıyla ölçer; zira bir yapı ancak baskı altında dağılmadığı ölçüde gerçek bir yapıdır.
English Definition
The totality of a project's legal, contractual, and financial architecture, defining whom the project company is surrounded by, through which contracts, and with what allocation of risk. The essence of the structure is the design of a contractual web that places each risk with the party best able to bear it, with the offtake agreement absorbing revenue risk, the EPC contract construction risk, and insurance and guarantees the residual risks. An experienced practitioner measures the elegance of a structure not by its tidiness on paper but by which party will actually put up money in the most likely stress scenario, since a structure is real only to the extent it does not disintegrate under pressure.
