Sponsorun ya da üçüncü bir tarafın, proje şirketine belirli koşullarda ek finansal ya da operasyonel destek sağlama taahhüdünü düzenleyen sözleşmedir. Tipik hükümleri öz kaynak katkısı, maliyet aşımı finansmanı ve işletme dönemi eksiklik desteği (deficiency support) içerir; bu sözleşme rücusuz finansmanla tam rücu arasındaki seçici rücu köprüsünü kurar. Kredi verenler açısından belirleyici olan taahhüdün koşulsuzluğu ve tavan tutarıdır; zira maliyet aşımı desteği bir üst limitle sınırlıysa, o limiti aşan aşım riski sessizce kredi verenlere geri döner ve bu genellikle en yoğun müzakere edilen katmandır.
English Definition
An agreement governing the undertaking of the sponsor or a third party to provide additional financial or operational support to the project company under specified conditions. Its typical provisions include equity contribution, cost-overrun financing, and operating-period deficiency support, forming the selective-recourse bridge between non-recourse financing and full recourse. What is decisive for lenders is the unconditionality and cap of the undertaking, since if cost-overrun support is limited by a ceiling, the overrun risk beyond that ceiling quietly flows back to the lenders, and this is usually the most intensely negotiated layer of the entire support package.
