English Definition
The body of provisions defining the core commercial and legal terms of a project's financing — tenor, margin, repayment profile, security, covenants, and conditions precedent. These terms are typically first drafted in a term sheet and then translated into long-form loan documents. An experienced negotiator directs attention less at the pricing items than at the conditional provisions governing drawdown freedom and dividend distribution, since while the margin is bargained within a few basis points, the calibration of a cash sweep trigger or a dividend-lock test shapes the project's equity return far more materially over the life of the loan.
