Bir şirketin fikir olarak tasarlanmasından tüzel kişilik kazanıp faaliyete geçmesine kadar yürütülen kuruluş faaliyetidir; kurucunun (promoter) kurucu sözleşmeyi hazırlaması, ilk sermayeyi bağlaması, varlıkları edinmesi ve gerekli tescilleri tamamlaması bu faaliyetin çekirdeğini oluşturur. Şirketler hukuku kurucuya, henüz doğmamış şirkete karşı bir güven (fiduciary) yükümlülüğü yükler; bu nedenle kurucunun şirkete devrettiği varlıklardan elde ettiği her menfaat açıklanmak zorundadır. Proje finansmanında bu işlev, projeyi taşıyacak amaca özel şirketin (SPV) kurulması ve sponsor ile kredi verenler arasındaki hukuki çerçevenin bu kabuk içine yerleştirilmesiyle somutlaşır.
English Definition
The act of forming a company, carrying it from mere concept to an incorporated entity ready to operate; the promoter's drafting of the constitutive documents, commitment of initial capital, acquisition of assets and completion of registrations form its core. Company law imposes on the promoter a fiduciary duty toward the yet-unborn company, so any benefit derived from assets transferred to it must be disclosed. In project finance this function crystallizes in the establishment of the special-purpose vehicle that will hold the project and in situating the legal framework between sponsor and lenders within that shell.
