English Definition
A classic drafting phrase used to introduce a condition that limits the scope of a provision or carves an exception into it; meaning "on condition that," it makes the preceding principal clause contingent. Functionally it opens a proviso and usually installs an exception to an undertaking or a right. In loan and security documents the placement of this phrase carries real consequences, because a provided-always clause can quietly insert a carve-out into a broadly drafted negative covenant and widen the sponsor's room to maneuver; in negotiation the conditional clause therefore often warrants as much scrutiny as the principal provision it qualifies.
