English Definition
The shareholder who grants a proxy so that a representative may cast its vote at a general meeting instead of attending in person; as the true owner of the vote, the authority it confers is as a rule limited to a specific meeting and revocable. Whether the giver grants instructed or uninstructed authority sets the scope of the representative's discretion. In fund-held project investments this role is carefully designed: a fund manager holding shares on behalf of ultimate investors must follow a proxy voting policy when granting a proxy and manage conflicts of interest, especially on reserved matters — obligations typically set out expressly in the investor agreements.
