Proje finansmanında belirleyici olan, sınırlı sorumluluk özelliğinin proje şirketini bir iflastan-uzak tutma mimarisinin temel taşı haline getirmesidir: proje borcu geri ödenemese dahi, alacaklıların talebi kural olarak şirketin varlıklarıyla sınırlı kalır, sponsorun diğer varlıklarına uzanmaz. English Definition
A form of capital company in which members' liability is limited to the capital they have subscribed, while it may also offer shares to a broad investor base; the term is used across legal systems at the intersection of the publicly held joint-stock company and the limited-liability categories. What matters in project finance is that the "limited liability" feature makes the project company the cornerstone of a bankruptcy-remoteness architecture: even where the project debt cannot be repaid, creditors' claims are, as a rule, confined to the company's assets and do not reach the sponsor's other holdings. The entire logic of limited-recourse project finance depends on how far this corporate veil can be kept from being pierced.
