English Definition
The acceptance of a bill or offer on terms that vary or condition what was originally presented, meaning the acceptor assumes not the full obligation as tendered but a modified version of it. In negotiable-instrument law the holder retains the right to reject a qualified acceptance and treat the bill as dishonoured; in contract negotiation it operates as a fresh offer and pushes agreement further out. In project finance the 'accepted subject to' clauses appended to a term sheet are among the most insidious items that delay closing.
