English Definition
Under United States securities regulation, an institutional investor that holds assets above a defined threshold, typically a securities portfolio under management, and may therefore participate in private placements under Rule 144A without triggering public registration. Because QIB status lets an issuer bypass registration and place paper quickly with sophisticated buyers, it is frequently the threshold that governs liquidity in project bonds and infrastructure finance. As the 144A bid deepens, an issuer can often reach a longer tenor at a tighter credit spread.
