English Definition
A form of control in which an activity, risk or resource is bounded by quantity-based limits, automating management by substituting measurable thresholds for qualitative judgement. The appeal of a numerical limit lies in its objectivity, its danger in the behaviour that accumulates around the limit; in project loans, once a spending cap or a concentration limit is set, parties frequently optimise the letter of the limit rather than the economic reality. Well-designed covenant packages therefore pair numerical thresholds with a qualitative material-adverse-change test.
