English Definition
The minimum number of members or votes that must be present at a meeting for a board or general assembly to take valid decisions; resolutions passed without meeting this threshold are as a rule void. How the quorum is constructed determines the balance between minority protection and decision-making capacity, since in project companies the shareholders' agreement frequently imposes a qualified quorum for certain strategic decisions, conferring a de facto veto on a minority sponsor. In well-governed structures that veto is balanced by a deadlock or exit mechanism to prevent decision paralysis.
