English Definition
The operation of retiring a maturing or higher-cost existing obligation with the proceeds of a new issue; its distinction from refinancing is subtle, since re-funding typically denotes the same borrower rolling debt forward with a fresh instrument of similar character. In project and public finance the decision is driven by one of two triggers: a savings opportunity created by a fall in rates, or the need to escape restrictive covenants in the outstanding issue. In practice the governing factor is the call protection in the old debt; a re-funding attempted before the call window opens is possible only through costly indirect structures such as defeasance or advance refunding.
