Belirli bir şeye bağlı olarak doğan ve o şeyin maliki kim olursa olsun onu takip eden, kişiye değil eşyaya yapışan yükümlülüktür (obligatio propter rem). Proje finansmanı ve varlık devirlerinde bu kavram sessiz ama belirleyici bir risk taşır; zira sökme (decommissioning) taahhüdü, arazi rehabilitasyonu ya da geçmişten gelen çevresel sorumluluk gibi yükümlülükler devirle birlikte alıcıya geçer ve sözleşmeyle kolayca sıyrılamaz. Bu nedenle akıllı alıcı, due diligence aşamasında yalnızca şirketin borçlarını değil, varlığa yapışmış ayni yükümlülükleri ayrı bir kalem olarak fiyatlar.
English Definition
An obligation attached to a specific thing that follows the thing regardless of who owns it — running with the asset rather than with a person (obligatio propter rem). In project finance and asset transfers this concept carries a quiet but decisive risk, because decommissioning undertakings, land rehabilitation, and inherited environmental liability pass to the buyer on transfer and cannot be shed by contract alone. The astute acquirer therefore prices the obligations that adhere to the asset as a distinct diligence line rather than folding them into the company's ordinary liabilities; underpricing that item is a recurring source of post-closing disputes, since the seller's warranties rarely reach a duty the law fixes on the property itself.
