Proje finansmanında asıl önem taşıyan çizgi, hangi unsurun mütemmim cüz (fixture) sayılıp taşınmaza ipotekle bağlandığı, hangisinin sökülebilir teçhizat (chattel) olarak ayrı bir teminat sözleşmesine tabi olduğudur. Bu ayrım netleştirilmediğinde, türbin ya da transformatör gibi yüksek değerli ekipmanın hangi teminat paketine düştüğü icra anında tartışmaya açılır ve alacaklıların önceliği belirsizleşir.
English Definition
The category of ownership comprising land and everything permanently affixed to it, together with the rights attaching to that whole; it stands opposite the classification of personal property. The consequential line in project finance is which items count as fixtures — captured by the real-property mortgage — and which remain removable equipment (chattels) governed by a separate security agreement. Where that boundary is left unresolved, whether high-value equipment such as a turbine or transformer falls within the mortgage or the personal-property security becomes contestable at enforcement, and the priority among creditors turns uncertain precisely when certainty matters most — which is why lenders insist on a fixture-filing analysis and clear characterisation before, not after, a default.
