Bir eşya üzerinde doğrudan hakimiyet sağlayan ve herkese karşı ileri sürülebilen mutlak haktır (jus in rem); mülkiyet, ipotek, rehin, intifa ve irtifak bu kategoridedir. Proje finansmanında teminat mimarisinin omurgası ayni haklar üzerine kurulur; zira ipotek ya da rehin gibi ayni bir teminat, borçlunun iflasında yalnızca kişisel bir alacak talebinden çok daha güçlü ve öncelikli bir konum verir. Bu üstünlüğün fiilen işlemesi ise ayni hakkın usulüne uygun tescil edilmesine ve sıra (priority) ilişkisinin doğru kurulmasına bağlıdır; tescildeki bir boşluk teminatı kağıt üzerinde bırakır.
English Definition
An absolute right conferring direct dominion over a thing and enforceable against the world (jus in rem); ownership, mortgage, pledge, usufruct, and easement fall within this category. In project finance the backbone of the security architecture is built on real rights, because a real security such as a mortgage or pledge confers a position in the borrower's insolvency far stronger and more senior than a merely personal claim. Whether that superiority actually operates depends on proper registration of the real right and correct establishment of priority; a defect in perfection leaves the security good only on paper, which is why lenders treat the perfection opinion, not the security document itself, as the true measure of their protection.
