English Definition
Costs a prudent party would incur in comparable circumstances — neither unnecessary nor excessive, and generally required to be documented — defining the items eligible for reimbursement under a cost-plus contract. In EPC and construction contracts the phrase 'reasonable and documented cost' is the provision that most often becomes contested, precisely around change orders, because the additional cost the contractor deems reasonable is frequently the item the owner finds excessive. To manage that ambiguity the contract embeds express audit rights, a schedule of unit rates, and a benchmark against which reasonableness is tested; absent that anchor the term flexes toward whichever party holds the leverage in the negotiation, which in a distressed contract is usually the contractor the owner cannot yet replace.
