English Definition
A defence that legally justifies the breach or late performance of an obligation and removes the penalty or liability, invoked in the context both of tax penalties and of contractual duties. In project finance the concept must not be conflated with contractual force majeure: force majeure is a defined, narrow list within the contract, whereas reasonable excuse is often a more general defence whose burden of proof rests on the party asserting it. Because courts typically construe the concept narrowly, an impediment the party could have foreseen or averted with reasonable diligence will not later qualify as a reasonable excuse — a distinction that matters at the point a defaulting counterparty reaches past the force-majeure clause it cannot satisfy toward a general excuse the court will decline.
