Terimin sözleşmedeki tanımı göründüğünden kritiktir; zira ödeme yükümlülüğünün ancak doğru alıcıya ifa ile sona ermesi, yanlış tarafa yapılan ödemenin borçluyu kurtarmaması sonucunu doğurur. Proje finansmanında hibe ve teşvik akışlarında alıcının proje şirketi mi yoksa sponsor mu olarak tanımlandığı, fonun teminat havuzuna girip girmeyeceğini ve vergisel muameleyi doğrudan belirler.
English Definition
The party to whom a payment, grant, good, service, or legal notice is directed, taking — depending on context — the position of beneficiary, allottee, or addressee. The contractual definition matters more than it appears, since a payment obligation is discharged only by performance to the correct recipient, and payment to the wrong party does not release the debtor. In project finance, whether grant and incentive flows name the project company or the sponsor as recipient directly governs whether the funds enter the security pool and how they are treated for tax.
