English Definition
The party assuming the right to draw funds and the obligation to repay under a loan agreement; though it appears synonymous with the borrower, in project finance the two are deliberately separable. The entity actually receiving the funds is usually a single-purpose project company, while the repayment obligation, under a limited-recourse structure, rests solely on the project's cash flow rather than the sponsor's balance sheet. Which legal entity is defined as the recipient directly determines the reach of the security, the consolidation accounting, and the assets a creditor may pursue on default.
