English Definition
The collection of introductory provisions at the head of a contract, typically opening with Whereas, that establish the rationale for the transaction, the parties' motivation, and the linkage between documents. Though individually they contain no binding undertaking, in multi-document financing packages that cross-refer to one another the recitals serve as the interpretive map showing which agreement is subordinate to which and in what order of priority. Careless drafting of this section feeds disputes over which document governs when cross-default and inter-creditor provisions are applied.
