Bir sözleşme ihlali ya da haksız fiil sonucu uğranılan zararın, mahkeme ya da tahkim kararıyla tazminat olarak karşı taraftan tahsil edilmesidir. Tazminatın miktarı çoğu kez ispat edilebilen fiili zarar, öngörülebilirlik ve zararı azaltma (mitigation) yükümlülüğüyle sınırlanır; talep edilen ile hükmedilen arasındaki açık genellikle bu üç filtreden doğar. Proje sözleşmelerinde gecikmenin tazmini önceden LD hükümleriyle sabitlendiğinden, tarafların fiili zararı ayrıca ispat etme yükünden kurtulması ama aynı zamanda LD tavanını aşan gerçek zarara ulaşamaması, bu maktu yapının çift yönlü sonucudur.
English Definition
The collection, as compensation from the other party by court or arbitral award, of a loss suffered through breach of contract or tort. The quantum is usually constrained by provable actual loss, foreseeability, and the duty to mitigate; the gap between what is claimed and what is awarded typically arises from these three filters. In project contracts, because delay compensation is fixed in advance by LD provisions, the parties are relieved of the burden of separately proving actual loss but equally cannot reach real loss exceeding the LD cap — the two-sided consequence of that liquidated structure.
