English Definition
Outlays incurred by one party that, under the terms of the contract, may be charged back to a counterparty or drawn from the project account — legal fees, technical advisers, insurance and registration costs being the typical entries. In syndicated facilities the agent bank's recoverable expenses are frequently passed to the borrower without a firm cap, which lets post-closing cost drift quietly upward. Where the documentation fixes neither an itemised limit nor an approval threshold, this line becomes a recurring point of friction.
