English Definition
A preliminary prospectus circulated to investors during an offering before the final price and issue size are fixed, named for the red cautionary legend printed on its cover. It serves the book-building phase, gauging institutional interest and testing the indicative price range. That its contents do not constitute a binding offer is signalled by the deliberately blank price field, and how that blank is filled is frequently settled at the eleventh hour according to the strength of the order book — the document's incompleteness is the point, not a defect.
