Bir şirketin pay sahiplerinin adlarını, pay adetlerini ve pay üzerindeki hakları tutan resmî kayıttır; özellikle common law hukuk sistemlerinde pay sahipliğinin kesin delili bu kayıttır. Proje finansmanında bu sicil, teminat yapısının sessiz ama kritik bir bileşenidir; proje şirketinin paylarının rehni tesis edilirken, rehnin fiilen icra edilebilmesi çoğu zaman bu sicile bir kısıtlama şerhi (share charge notation) işlenmesini gerektirir. English Definition
The official record holding the names of a company's shareholders, their shareholdings, and the rights attached to those shares; particularly in common law systems this record is conclusive evidence of share ownership. In project finance this register is a quiet but critical component of the security structure; when a pledge over the project company's shares is created, its actual enforceability often requires a charge notation on the register. Lenders typically take control of the register or hold signed but undated blank share transfers within the security package, so that on default they can take ownership without recourse to a court process.
