English Definition
The maximum capital a company may issue as declared in its articles or the commercial registry, or its registered nominal capital; the meaning varies by jurisdiction. Under Turkish law the registered capital system allows the board to raise capital up to a ceiling without a general assembly resolution, which provides critical flexibility for projects requiring rapid capital calls. In project finance lenders watch this ceiling closely, since the sponsor's ability to actually inject committed equity depends on the adequacy of the registered capital ceiling and the term of the board's authorization; otherwise a lag opens between the equity commitment and the actual drawdown.
