Üzerinde hak sahibinin adı yazılı olan ve devri sicil kaydının değişmesine bağlı bulunan menkul kıymet ya da hak belgesidir; hamiline yazılı sertifikanın aksine, belgenin fiziki zilyetliği tek başına hak sahipliğini kanıtlamaz. Proje finansmanında bu form, bilhassa mevduat sertifikaları ve teminat mektuplarının menkul kıymetleştirildiği yapılarda, hak sahipliğinin izlenebilirliğini sağladığı için tercih edilir. Kritik ayrıntı, nama yazılı bir sertifikanın rehnedilmesinin çoğu zaman hem belgenin teslimini hem de ihraççıya bildirimi (notification) gerektirmesidir; bildirim yapılmadan tesis edilen bir rehin, ihraççının iyiniyetli üçüncü kişilere yaptığı ödemeler karşısında korunmasız kalabilir.
English Definition
A security or entitlement instrument bearing the name of the holder, whose transfer depends on a change in the register entry; unlike a bearer certificate, physical possession of the document alone does not prove ownership. In project finance this form is preferred where deposit certificates and guarantees are securitized, because it makes ownership traceable. The critical detail is that pledging a registered certificate often requires both delivery of the document and notification to the issuer; a pledge created without notification can be left unprotected against the issuer's good-faith payments to third parties.
