English Definition
A company's official seat as shown in its articles and the commercial registry; it is the connecting factor determining the governing law, the competent commercial court, and where statutory books are kept. In project finance the registered office is not a mere administrative record but a critical factor in insolvency jurisdiction; particularly under the EU regime the presumption of the company's centre of main interests (COMI) attaches to it, which fixes whose insolvency law applies on default. The country in which the sponsor incorporates the project company therefore shapes not only tax but the creditor priority ranking in a winding-up.
