Bir aracı kurum adına menkul kıymet alım-satım işlemlerini yürütmeye ve yatırımcılara aracılık etmeye, düzenleyici otorite nezdinde lisanslanmış ve tescil edilmiş kişidir; ABD piyasasında broker-dealer bünyesinde çalışan lisanslı temsilciyi ifade eder. Bu tescil, kişiye yalnızca işlem yetkisi değil, uygunluk (suitability) ve müşteri çıkarını gözetme gibi bağlayıcı davranış yükümlülükleri de yükler. English Definition
A person licensed and registered with the regulator to conduct securities transactions and to intermediate with investors on behalf of a broker-dealer; in the US market it denotes the licensed representative working within a broker-dealer. This registration imposes not only transaction authority but binding conduct duties such as suitability and acting in the client's interest. In project finance the distribution of institutional issues runs through these registered persons, so an issuer's reachable investor base is effectively bounded by the breadth of the distributing firm's registered-representative network, which turns the choice of firm before an issue into a strategic decision.
