Bu tescil, ihraççıya daha geniş bir yatırımcı tabanı ve ikincil piyasa serbestisi kazandırır, ancak sürekli kamuyu aydınlatma ve raporlama yükünü de beraberinde getirir. English Definition
A security registered with the regulator so that it may be offered to the public, subject to a prospectus obligation; it is the counterpart of exemption-based private placement instruments. This registration gives the issuer a broader investor base and secondary-market freedom, but also brings the burden of ongoing disclosure and reporting. In project and infrastructure finance the choice usually turns on the cost balance between registration and exemption; issues aimed at institutional buyers are frequently done in exempt form for speed and confidentiality, while the registered form offers more liquid but slower and more transparent access to capital.
