English Definition
The person whose name is recorded in the company's share ledger and who, by virtue of that record, appears entitled to exercise voting, dividend, and other membership rights; the distinction that the beneficial owner is not always the same as the registered holder is critical here. In project finance this distinction recurs because of nominee custody structures, where the registered shareholder may be a custodian while the economic interest sits with another investor. When enforcing covenants on control and dividend flow, lenders often require ultimate-beneficiary declarations and direct undertakings to close this gap between registered and beneficial ownership, without which the real control layer of the security is missed.
