English Definition
An independent institution that maintains the register of share- or bondholders in a securities issue, processes transfers, and ensures payments reach the correct registered owners; in company law it may denote the official body keeping the commercial registry. In project bonds the registrar's function is not mere record-keeping; it carries the operational responsibility that coupon and principal payments reach the right account, on the right date, with the correct tax withholding. The critical detail is that the registrar and the paying agent are often the same institution, which serves an independent fiduciary function toward registered holders even on the issuer's default, and this independence operationally separates the investor from issuer risk.
