English Definition
A document of prescribed content submitted to the authority in a registration request; in securities regulation it denotes the official registration document that fixes the scope and format of the information the issuer must present. Its standardization is the basis of the disclosure discipline that lets investors compare different issues; the issuer must complete in full the risk factors, financial statements, and use of proceeds it requires. In project bond issues the critical point is that the form compels disclosure of project-specific risks — construction delay, offtaker concentration, regulatory dependence — since incomplete disclosure is the most common source of later investor litigation and issuer liability.
