English Definition
A comprehensive registration document, including the prospectus, submitted to the regulator before a security's public offering; in the US market it denotes the statement that must be declared effective by the authority before the offering can proceed. The quiet period until it becomes effective tightly restricts the issuer's promotional activity, and a breach of it can delay the offering. What is critical for project finance is that a material misstatement or omission in the statement creates, under US securities law, a basis of claim making the issuer, its directors, and the underwriter directly liable; this liability regime explains why due diligence discipline in infrastructure issues is so heavy.
