Bir tarafın, karşı tarafın onun adına ya da bir iş kapsamında katlandığı masrafları belgeye dayalı olarak geri ödemesi eylemidir; danışmanlık, sigorta ve teminat mektubu ilişkilerinde sık karşılaşılan bir yükümlülük tipidir. Bu yükümlülüğün sözleşmesel tetiği ve kanıt standardı, uygulamada ödemenin hızını belirler; makul ve belgelenmiş biçimindeki bir kayıt, ödeyen tarafa itiraz alanı açarak masraf iadesini geciktirebilir. Proje finansmanında sponsorun proje şirketine yaptığı masraf geri ödemeleri, ilişkili taraf işlemi olarak kredi sözleşmesindeki nakit çıkış kısıtlarına ve waterfall sırasına tabidir.
English Definition
The act by which one party repays, on a documented basis, the expenses the other incurred on its behalf or within a scope of work; a common type of obligation in advisory, insurance, and guarantee relationships. The contractual trigger and evidentiary standard for this obligation determine, in practice, the speed of payment; a qualifier such as reasonable and documented opens ground for the paying party to object and delay the reimbursement. In project finance the expense reimbursements a sponsor makes to the project company, as a related-party transaction, are subject to the cash-outflow restrictions and the waterfall order in the loan agreement.
