English Definition
To cause a contract, provision, or security to become legally unenforceable, that is, incapable of being given effect through a court or enforcement process, whether by illegality, defect of form, or failure to register. In project finance this risk sits at the heart of the security, for an improperly perfected pledge, or a step-in right that local administrative law will not allow to carry a licence with it, can leave a package that reads strongly on paper inert at the moment of enforcement. This is why the legal opinions focus on enforceability rather than on mere existence.
