Bir tarafın, sözleşme kapsamında belirli bir olgunun doğru olduğunu karşı tarafa resmi olarak bildirmesi; hukuki anlamda beyanda bulunma fiilidir. Bu beyan salt bilgi aktarımı değil, üzerine güvenilen ve yanlış çıkması halinde tazminat ya da sözleşmeden dönme hakkı doğuran bir taahhüttür. Proje finansmanında beyanların yalnızca imza anında değil, her çekişte yeniden doğru olması şartı (repeating representations) aranır; böylece kredi veren, kapanıştan sonra ortaya çıkan olumsuz bir gelişmeyi çekişi durdurmak için bir kaldıraca dönüştürebilir.
English Definition
The act by which a party formally asserts to another that a given fact is true within a contract; in legal terms, the making of a representation. Such an assertion is not mere information but a statement relied upon, one that gives rise to a claim for damages or a right to rescind if it proves false. In project finance representations are typically required to remain true not only at signing but at each drawdown — the repeating representations — so that a lender can convert an adverse post-closing development into a lever to halt further funding.
