English Definition
The statements a party gives that certain facts are true as of signing, together with the undertakings that guarantee their accuracy; breach gives rise to indemnity or a right to rescind. In M&A and project finance transactions this section is the principal arena where risk is allocated between the parties. In practice the qualification of statements by "to the knowledge of," together with materiality thresholds, survival periods and an indemnity cap, defines the true risk transfer; today that risk is frequently ceded to a separate warranty-and-indemnity insurance policy, shifting post-closing disputes from the sponsor to the insurer.
