Bir sözleşme, düzenleme ya da finansman yapısı kapsamında bir tarafın karşılaması gereken koşulların bütünüdür; teknik şartnameden mali eşiklere, izin belgelerinden raporlama yükümlülüklerine kadar geniş bir yelpazeyi kapsar. Proje finansmanında şartlar tek bir belgede toplanmaz; çekiş öncesi koşullar, süregelen yükümlülükler ve tamamlanma testleri farklı belgelere dağılmış halde birbirine atıfla bağlanır. Bu dağınıklık pratik bir risk üretir: bir belgedeki tanımın diğerinde farklı kullanılması, ihtilaf anında hangi eşiğin geçerli olduğu tartışmasına yol açar; bu yüzden deneyimli danışmanlar tanımlar bölümünü (definitions) belge setinin tümünde tek bir sözlüğe bağlar.
English Definition
The totality of conditions a party must satisfy under a contract, regulation or financing structure; it spans a wide range, from technical specifications to financial thresholds, from permits to reporting obligations. In project finance the requirements are not gathered into a single document: conditions precedent, ongoing covenants and completion tests are dispersed across separate documents linked by cross-reference. This dispersion creates a practical risk — a term defined one way in one document and used differently in another invites, in a dispute, an argument over which threshold governs; experienced counsel therefore tie the definitions section to a single glossary across the whole document set.
