English Definition
The body of mandatory legal rules governing a company's entire life cycle, from formation to liquidation, on matters such as capital, governing bodies, shareholders' rights, disclosure and transfers. This framework varies significantly by jurisdiction and directly shapes the structure of a transaction. In project finance the corporate law of the country where the SPV is incorporated determines the validity of a share pledge, the limits placed on profit distribution and the lender's ability to exercise step-in rights; indeed, because the same economic structure can yield entirely different security enforceability in two jurisdictions, structuring decisions are often driven less by tax than by this legal enforceability.
