English Definition
A security acquired outside a public offering — typically through a private placement — whose free transfer is therefore tied to a holding period and regulatory conditions; 'restricted stock' under Rule 144 in the United States is the canonical case. Because the transfer restriction lowers liquidity, such instruments are usually valued at a discount to their freely traded equivalent; the lock-up shares a project sponsor receives at closing fall effectively into this category, so the restriction must be weighed when their collateral value is assessed.
