Bir sözleşmenin ya da iznin, tarafın belirli bir eylemi yapmasını, bir hakkı kullanmasını ya da bir işlemi tamamlamasını sınırlayan hükmüdür; olumsuz taahhüt (negative covenant) mantığıyla işler. Proje finansman belgelerinde ek borçlanma, varlık satışı ya da temettü dağıtımını belirli oranların sağlanmasına bağlayan kısıtlayıcı koşullar standarttır; bu hükümlerin gerçek etkisi ihlal anında değil, kredi verenden feragat (waiver) talep edilmesi gereken her stratejik hamlede hissedilir, zira feragat çoğu zaman yeniden fiyatlama fırsatına dönüşür.
English Definition
A clause in a contract or consent that limits a party's ability to take a defined action, exercise a right, or complete a transaction, operating on the logic of a negative covenant. In project-finance documentation, restricting conditions that tie additional borrowing, asset sales, or dividend distributions to the maintenance of prescribed ratios are standard; their real bite is felt not at the moment of breach but on every strategic move that requires a lender waiver, since the waiver often becomes an occasion for repricing.
