English Definition
A jurisdiction that imposes comparatively heavy regulatory limits on foreign investment, capital movement, ownership, or activity in particular sectors, with approval regimes, local-partner requirements, and sectoral prohibitions as its typical markers. In a project developed within such a state the sponsor structure often mandates a local partner, which forces a careful contractual separation between control and economic entitlement; share classes that split voting rights from dividend rights are the standard device for navigating the restriction without surrendering the return.
