İnşaat sözleşmesinde hakedişlerden alıkonulan ve işin kusursuz teslimine kadar iş sahibinin elinde tutulan bedelin kendisidir; yüklenicinin fiilen hak ettiği ancak henüz tahsil edemediği alacaktır. Bu bakiyenin hukuki niteliği kritik bir sorundur; iş sahibi iflas ederse, kesilen tutarın ayrı bir emanet hesabında (trust) tutulup tutulmadığı, yüklenicinin bu parayı geri alıp alamayacağını belirler, nitekim bedelin iş sahibinin genel varlıklarına karışması durumunda yüklenici sıradan bir alacaklıya dönüşerek büyük olasılıkla tam tahsilat yapamaz.
English Definition
The withheld sum itself in a construction contract — money deducted from progress payments and held by the employer until faultless delivery — representing an amount the contractor has effectively earned but not yet collected. The legal character of this balance is a critical issue: if the employer becomes insolvent, whether the deducted sum sits in a separate trust account determines whether the contractor recovers it, for once the money is commingled with the employer's general assets the contractor becomes an ordinary creditor and will likely not be paid in full.
