English Definition
A contractual clause providing that the seller keeps ownership of delivered goods until the price is paid in full; possession passes to the buyer while legal title remains suspended (also known as a 'Romalpa' clause). In project procurement the provision is a quiet security lever: the supplier gains priority to reclaim its goods from an insolvent buyer, yet once the goods are affixed to the project as an integral part, or processed until they lose their identity, the enforceability of the right frequently becomes contentious.
