English Definition
A debtor who abuses the insolvency process to injure creditors, spirit away assets or escape obligations in bad faith, with fraudulent conveyance and asset stripping among the typical patterns. In project finance this risk is one of the founding reasons for separating the project borrower from the sponsor; the special-purpose vehicle structure and asset ring-fencing exist precisely to prevent a sponsor's bad-faith bankruptcy from contaminating the project assets. The bankruptcy-remoteness provisions lenders demand are the contractual line of defense erected against this behavior.
