English Definition
The procedural rules governing the board of governors — the supreme decision-making organ of a multilateral development bank, in this context a European institution — regulating how this body of member-state representatives convenes, the distribution of voting weights, and the exercise of reserved powers. Unlike the board of directors, it deals not with day-to-day lending but with institution-level strategic decisions such as capital increases, membership and fundamental policy. While it does not directly affect transaction speed in project finance, the capital and policy decisions it takes indirectly shape the bank's overall lending capacity and risk appetite.
